Life
MICHAEL A. GORDON is a partner in Sidley Austin LLPÂs Chicago office. His principal areas of practice are mergers and acquisitions, corporate finance and corporate counseling. He represents both buyers and sellers of public and private companies (in transactions ranging in size from several million to billions of dollars). He also represents issuers, underwriters and investors in a variety of public and private offerings of common stock, preferred stock, convertible securities and debt securities.
Mr. Gordon maintains a substantial practice in mergers and acquisitions, working on domestic and global transactions for public and private companies, private equity firms, hedge funds, special board committees and financial advisors. He has been involved in dozens of public company mergers, including the following which were each valued at more than $1 billion:

Mr. Gordon played a significant role in First Data Corporation's proposed acquisition of Concord EFS, Inc., Starwood Hotels & Resorts Worldwide, Inc.Âs acquisitions of ITT Corporation, Westin Hotels & Resorts Worldwide, Inc. and Vistana, Inc., Moore Corporation Limited's recent acquisition of Wallace Computer Services, Inc., Conseco, Inc.Âs acquisition of Green Tree Financial Corporation, Stone Container Corporation's merger-of-equals with Jefferson Smurfit Corporation and Aon Corporation's acquisition of Alexander & Alexander Inc. He has also been involved in contested takeover work, having represented Barrett Resources in its response to Shell Oil CompanyÂs recent hostile takeover attempt and the subsequent agreement by Barrett Resources to merge with The Williams Companies, Inc. and the successful defense of Wallace Computer Services, Inc. against the hostile tender offer and related proxy contest of Moore Corporation.
